Terms of use
- Zerocile reads your property statements and bills and puts entries into your Xero books. You stay responsible for your books and tax returns.
- It's free during early access. We'll give you at least 30 days' notice before charging, and you can stop any time.
- Your documents and books are yours. Entries we post stay in your Xero if you leave.
- Your rights under New Zealand and UK consumer law still apply.
1. Who these terms are with
These terms are between you and HandsBros Limited of 7 Pearce Place, Wanaka, New Zealand ("Zerocile", "we", "us"). By creating an account or using Zerocile you agree to them. If you use Zerocile for a company or trust, you agree on its behalf and confirm you're allowed to.
You must be 18 or over.
2. What Zerocile does
Zerocile reads documents you send it, mainly property managers' statements and suppliers' invoices, and uses them to post entries, draft bills and attachments to the Xero organisations you connect. It also makes tax-pack spreadsheets and suggests explanations for bank lines. Where it isn't sure, it asks you rather than guessing.
Zerocile is a bookkeeping tool. It isn't an accountant or tax adviser and doesn't give financial, tax or legal advice. Tax packs and suggestions are a starting point for you or your accountant to check.
3. Your responsibilities
- Your books are yours. You're responsible for checking what's posted and for the accuracy of your accounts and returns. Documents are read by an AI model, which can make mistakes; anything Zerocile isn't sure of is held for you, but please review what it posts.
- What you send. Only send documents you're allowed to share. They often include other people's details, such as tenants'; you confirm you can let us handle them to provide the service, and our privacy policy explains how we do.
- Your accounts. Keep your email account secure, because that's how you sign in. You're responsible for who you invite into your workspace and what they do there.
- Xero. You need your own Xero subscription for each organisation, and you must be allowed to connect it. Xero's terms apply to your use of Xero. Zerocile isn't made or endorsed by Xero.
- Fair use. Don't misuse the service: no attempts to break or overload it, reach other people's data, reverse engineer it, or use it for anything unlawful.
4. Price and payment
Zerocile is free during early access. When paid plans begin, prices will be based on how many documents (statements and invoices) you send a month, as shown on zerocile.io, and we'll tell you at least 30 days before you're charged anything. Nothing is charged unless you choose a plan.
Once you're on a paid plan: plans are billed in advance, monthly or yearly; going over your plan's documents in a month never stops your documents being read, and we'll suggest the next plan if it keeps happening; prices for New Zealand include GST, and UK prices include any VAT that applies. We'll give at least 30 days' notice of any price rise, and you can cancel before it applies.
5. Your data
You own your documents, your books and everything you send us. You give us permission to store, read and process them only to provide and improve the service for you, as described in the privacy policy. We don't use them to train AI models.
We own Zerocile itself, including its software and design. If you send us suggestions, we can use them without owing you anything.
6. Availability and changes
We work to keep Zerocile running and your data safe, but during early access especially we can't promise it will always be available or error-free. We may change or improve features. If we stop offering Zerocile, we'll give you at least 30 days' notice and a way to download your documents.
7. Ending
You can stop using Zerocile at any time and ask us to close your account by emailing privacy@zerocile.io. You can also disconnect it from inside Xero. We may suspend or close an account that breaks these terms, after warning you where that's reasonable. When an account closes, we delete its data as the privacy policy describes. Entries already posted to Xero remain part of your books.
8. Liability
Your consumer rights. Nothing in these terms limits rights you have that can't be limited by law. In New Zealand that includes the Consumer Guarantees Act 1993 and the Fair Trading Act 1986; in the UK, the Consumer Rights Act 2015. In the UK we don't limit liability for death or personal injury caused by our negligence, or for fraud.
Using Zerocile for business. If you use Zerocile for the purposes of a business, including running rental properties as a business, you agree that, as far as New Zealand law allows, the Consumer Guarantees Act doesn't apply, and that it's fair and reasonable for you to agree to that.
Limits. As far as the law allows: we're not liable for loss of profits, or for indirect losses we couldn't reasonably have foreseen; we're not liable for tax, penalties or interest arising from entries or returns you were responsible for checking; and our total liability to you in any 12 months is limited to the greater of what you paid us in that time and NZ$100 (or £50 in the UK).
9. Changes to these terms
We may update these terms. If a change matters, we'll email you at least 30 days before it takes effect; if you don't agree, you can stop using Zerocile before then.
10. Law and disputes
If you have a problem, please tell us first at privacy@zerocile.io, and we'll try to sort it out.
These terms are governed by New Zealand law, and New Zealand courts can hear disputes about them. If you live in the UK and use Zerocile as a consumer, you also keep the protection of the mandatory laws of the part of the UK where you live, and you can bring a claim in your local courts.
